Urantia Association of Canada (UAC) Downloadable version (PDF) Article 1 Name The name of the organization shall be the URANTIA Association of Canada (UAC). The UAC shall be a part of the International URANTIA Association and licensed by URANTIA Foundation. Such a license privileges the UAC to make authorized use of the ³URANTIA² name and URANTIA Foundation trademarks, service marks, and collective membership marks. The International URANTIA Association is legally defined as a reader membership arm of the URANTIA Brotherhood Association, an umbrella organization whose Directors are the Trustees of URANTIA Foundation. IUA enjoys a tax exempt status and other benefits by this legal relationship. Organizationally, IUA¹s constituent Associations are self-governing groups linked together through their IUA Charter, readers¹ common membership in IUA, and shared tasks and functions. Article 2 Purpose The purpose of the UAC shall be to serve the integration and coordination needs of the IUAs within the provinces of Canada. The IUA is a task-oriented, social and service organization formed by the Trustees of URANTIA Foundation to foster in-depth study of The URANTIA Book and the orderly dissemination of its teachings. The UAC shall be active in fostering cooperative tasks among the IUAs, integrating the policies and procedures of URANTIA Foundation into the IUA activities, and Coordination Committee who will assist in their resolution. Article 3 Membership Requirement Voting members of the UAC shall be duly elected Presidents and Vice Presidents of the various local IUAs located within the provinces of Canada. Local IUA members shall be non-voting members of UAC enjoying all of the other rights and privileges of membership. Article 4 Organizational Structure The officers of UAC shall be called the UAC Governing Board. Officers shall be selected from local IUA members in good standing and elected for two year staggered terms, with half the officers elected each year (Initially, half of the officers shall be elected to 1 year terms). A Board member maybe re-elected only once; after two successive terms, the officer must vacate the Governing Board and remain without office for at least a year. The governing Board shall consist of a President, Vice President, Secretary and Treasurer. Officer duties shall include: 1. President. Presides over all meetings of the Governing Board and voting membership, acts as spokesperson for the Association; serves as a voting member of the Council of National Presidents and Vice Presidents; and, submits an annual written report of local and national Association activities to the Trustees, Chair of the Coordinating Committee, and local IUA Presidents and Vice Presidents. 2. Vice President. Performs the duties of President when required and serves as a voting member of the Council of National Presidents and Vice Presidents. 3. Secretary. Administers UAC correspondence and meeting minutes; maintains the voting membership register, and responds to reader inquiries either personally or via delegation. 4. Treasurer. Responsible for the cash assets and bank accounts of the UAC, preparation of an annual budget and tracking expenditures in relation thereto, collection of membership dues and donations; and the planning, management, and execution of the fund raising aspects of any UAC activity. Committees. The Governing Board may appoint any standing or ad hoc committees required to conduct the business of the UAC. The committee members must be members in good standing of a local IUA. Article 5 Quorum A quorum shall consist of one-third of the voting members or their duly designated proxies present. A member may hold multiple proxies. A quorum of the Governing Board shall be three members. Article 6 Manner of Acting A. The act of a majority present at a duly called Association, Governing Board, or committee meeting at which a quorum is present shall be considered an act of the group. Each voting member shall have one vote. Meeting conduct shall be governed by Robert¹s Rules of Order. B. Any action required may be taken by the Association, governing Board or committee without a formal meeting provided consent is obtained in writing setting forth the action to be taken and signed by al members of said group entitled to vote on the matter under consideration. Any such document, or multi-copies thereof, signed by all members entitle to vote shall have the same effect as a unanimous vote at a duly called meeting. Article 7 Removal Procedure No member shall be expelled from UAC membership unless, as adjudged by the UAC, the attitude, conduct, or influence of such voting member shall be prejudicial to the interests and work of the UAC or IUA in general. In order to expel a member, three members of an Association must bring specific charges of misconduct. After providing the accused member a hearing, the UAC may remove a voting member from the UAC by a two-thirds majority vote of the voting members present provided the voting members present constitute a quorum. In case off expulsion, appeal may be made to the Coordinating Committee for reinstatement. Article 8 Conflict Resolution By written request of the Governing Board, unresolved issues affecting an Association or Associations may be brought before the Coordinating Committee, acting as a whole, which shall be empowered to take such action as it deems necessary and appropriate in resolving the conflict. The Coordinating Committee shall set the time, venue, and attendance of any and all meetings required in resolving the conflict. Article 9 Fees and Dues The UAC may require annual dues and/or other fees from local Associations provided such funds are consistent with the budget approved by the voting members and the assessment thereof is approved by the voting members at a duly called meeting or as provided in Article 6 . Article 10 Meetings of Voting Members There shall be an Annual Meeting of the UAC at a time, date, and venue set by the governing Board. Notice of said meeting shall include a general outline of business to be transacted and shall be made to all voting members as early as possible, but in no instance less than 30-days prior to the meeting. Article 11 Meetings of Governing Board and Committees A. Meetings of the Governing Board or committees shall be called by the UAC President or Committee Chair, respectively, or by any two other officers of said group. Date, time, venue, and business to be conducted shall be set by the officer or officers calling the meeting. Notices must be reasonably given in all circumstances. B. Meetings of the Governing Board or committees may be held via conference telephone or instantaneously interactive electronic media, whereby all participants are able to fully participate in such meeting. Participation in such meetings shall constitute presence in person. Article 12 Amendments to Bylaws Amendments to the Bylaws require (1) written notice to each voting member of the proposed Bylaw change at least 30 days prior to a vote being taken, (2) a two-thirds majority vote of the quorum voting at a duly called meeting wherein proper notice of such voting requirement was given. Amendments to Article 12 requires prior consent of the Coordinating Committee. Amendments to Article 13 require prior consent of the Coordinating Committee and URANTIA Foundation Trustees. Article 13 Dissolution In the event of the revocation of the Charter of three UAC or the voluntary or involuntary dissolution of the UAC, all assets shall be turned over to the IUA through the Coordinating Committee. In the event of the dissolution of the IUA itself, all assets shall be turned over to URANTIA Brotherhood Association, 533 Diversey Parkway, Chicago, IL 60614, and USA. |
